Scope
These general terms and conditions define the mutual rights and obligations in case of the purchase of Miss Nella products on www.missnella.eu by the customer. The general conditions express all obligations of the parties. The customer is deemed to accept them without reservation, failing which his order will not be validated. Exceptions to the provisions of the general terms and conditions may be made in exceptional cases, provided such exceptions are agreed in writing. Such exceptions may consist of amendments, additions or deletions to the provisions to which they relate and do not affect the application of the other provisions of the general conditions. JA!Company reserves the right to amend the general conditions from time to time. The changes will apply as soon as they are put online for any purchase after that date.
Online shop
Through www.missnella.eu JA!Company puts at the customer's disposal an online shop which presents the products offered. The presentation of the offered products (e.g. via pictures) have no contractual values. The products are described and presented with the greatest possible accuracy. However, in case of errors or omissions in the presentation JA!Company cannot be held liable for this. The products are offered within the limits of their availability. Prices and taxes are listed in the online shop.
Price
JA!Company reserves the right to change its prices at any time by publishing them online. Only the indicated prices and taxes in force at the time of ordering are applicable, subject to availability on that date.
Prices are indicated in euros and do not take into account any delivery costs, which are additionally indicated and invoiced before the validation of the order by the customer. The total amount of the order (all taxes included) and, if applicable, the delivery costs are indicated before the final validation of the order.
Online ordering
The customer has the option of completing an order online using an electronic form. By completing the electronic form, the customer accepts the price and description of the products. To validate his order, the customer must accept these terms and conditions by clicking on the place indicated. The customer must provide a valid email address, billing information and, if applicable, a valid delivery address. Any communication with JA!Company can take place through this email address. In addition, the customer must choose the delivery method and validate the payment method. JA!Company reserves the right to block the customer's order in case of non-payment, incorrect address or any other problem on behalf of the customer until the problem is resolved. Confirmation and payment of order JA!Company retains ownership of the products ordered until full payment of the order is received.
Payment
The customer makes payment at the time of the final validation of the order using the chosen payment method. This validation applies in place of a signature. The customer guarantees JA!Company that he has the necessary authorisations to use this method of payment and acknowledges that the information provided for this purpose constitutes proof of his agreement to the sale and payment of the sums due under the order. JA!Company has established a procedure to check orders and means of payment to reasonably guarantee her against any fraudulent use of a means of payment, including by requesting identification data from the customer. In case of refusal of authorisation to pay by credit card by accredited organisations or in case of non-payment, JA!Company reserves the right to suspend or cancel the order and its delivery. JA!Company also reserves the right to refuse the order of a customer who has not completed a previous order or only partially completed it or to whom a payment dispute is pending.
Confirmation
Upon receipt of validation of the purchase with payment, JA!Company will send the purchase to the customer, as well as an invoice, unless the latter is provided with the order. The customer may request that the invoice be sent to an address other than the delivery address by addressing a request to JA!Company before delivery. In case of unavailability of a product, JA!Company will inform the customer by email or as soon as possible to replace or cancel the order of this product and possibly refund the relevant price, the rest of the order remaining fixed and final.
Proof
The communications, orders and payments between JA!Company and the client may be proved by means of computerised records, kept in JA!Company's computer systems under reasonable security conditions. The orders and invoices shall be archived on a reliable and durable medium which shall be considered as evidence in particular.

Delivery
Delivery is made only after confirmation of payment by JA!Company's bank. Products will be delivered to the address indicated by the customer on the online order form. Additional costs resulting from incomplete or incorrect information provided by the customer will be charged to the customer.
The delivery takes place, according to the method chosen by the customer, within the delivery period communicated by JA!Company at the time of the order. The delivery periods are indicative. No compensation can be claimed from JA!Company or the carrier in case of late delivery. If delivery times exceed 30 days from the date of the order, the sales agreement may be cancelled and the customer may be reimbursed.

Checking the order
Upon receiving the products, the customer or the recipient checks the good condition of the delivered product. In case one or more of the ordered products are missing or damaged, the customer or the recipient must formulate the necessary reservations to the carrier at the time of delivery and inform JA!Company immediately. The verification shall be deemed carried out as soon as the customer or his/her recipient accepts the order without reservations. Any reservation that is not made according to the rules defined above and within the deadlines set cannot be taken into account and releases JA!Company from any liability towards the customer.
Delivery error
In the event of a delivery error or non-conformity of the products with the information on the order form, the customer shall inform JA!Company within 3 working days of the delivery date.
Any complaint not made within the deadline cannot be taken into account and releases JA!Company from any liability towards the customer.
Returns and exchanges
The product to be exchanged or refunded must be returned in its entirety and in its original packaging to JA!Company.
The costs of the return are to be borne by the customer.
Guarantees
JA!Company guarantees the conformity of the products to the legislation in force at the time of the order. If the customer is a consumer, he has 2 years from the delivery of the product to implement the legal guarantee of conformity. The lack of conformity must be reported to JA!Company as soon as possible and in any case no later than 2 months after the discovery of the sale.
Right of withdrawal
This article only applies insofar as the customer is a consumer. In that case, the customer can exercise his legal right of withdrawal and dissolve the agreement within 14 working days after the delivery (: taking possession) of the products.
Return and refund
After notification of his decision to withdraw, the customer has 14 days to return the products. The customer may request a refund of the returned product, without additional costs. The cost of return shall be borne by customer. The return or exchange of the product can only be accepted for the products if they are still whole, intact and in their original condition, in particular with complete, intact packaging and in a state of re-sale. JA!Company will refund the customer all amounts paid, including the delivery costs, within 14d after the return of the products.
Exceptions to the right of withdrawal
Any revocation that is not carried out in accordance with the rules and deadlines of this article and applicable law cannot be taken into account and releases JA!Company from any liability to the customer.
Data protection
JA!Company will keep in its computer systems and under reasonable security conditions the evidence of the transaction, including the purchase order and the invoice. JA!Company guarantees its customer the protection of its personal data in accordance with JA!Company's privacy policy and GDPR legislation.
Force majeure
If JA!Company is totally or partially prevented from fulfilling the order due to an unforeseen circumstance beyond its control, it is a case of force majeure. In case of force majeure, JA!Company has the right to suspend the execution of the order in whole or in part for the duration of the force majeure. JA!Company will inform the customer of this immediately.
If the force majeure continues for more than 90 days without interruption, each of the parties has the right to unilaterally terminate the contract, by registered letter to the other party.
Independence of the provisions If one or more provisions of these general terms and conditions are declared illegal or null and void, the remaining provisions shall remain in full force and effect.
The illegality or total or partial invalidity of any provision of these general conditions does not affect the validity and application of the other provisions. JA!Company reserves the right to replace the unlawful or invalid provisions with another valid provision of equal effect.
Applicable law and competent court
These general conditions are governed by Belgian law. In case of a dispute and in the absence of an amicable solution, the dispute will be submitted to the court of the judicial district of the registered office of JA!Company.
Promotions and discount prices
Actions are announced on various channels. Actions and discounts announced on social media and our webshop apply to B2C consumers. Actions and discounts specific to B2B are timely and clearly indicated on the B2B account under additional information. B2B customers are notified personally via newsletter or our representatives.
